Accredited Investor Certification
I certify that I am an Accredited Investor under federal securities laws because I meet one (or more) of the following requirements: 1) I am a natural person who earned income that exceeded $200,000 (or $300,000 together with a spouse) in each of the prior two (2) years, and expects the same for the current year or 2) has a net worth of over $1 million (excluding the value of my primary residence); 3) I am a trust, with total assets in excess of $5 million, not formed for the purpose of investing in any fund, whose investment discretion is directed by a sophisticated investor or 4) I am an entity whose equity owners are Accredited Investors.
Qualified Purchaser
I certify that I am a Qualified Purchaser (“QP”) under federal securities laws because I meet one (or more) of the following requirements: 1) As a natural person, I (or together with my spouse) own $5M or more in investments; 2) As an entity (other than a trust) each beneficial owner is a QP; 3) As an entity (other than a trust), I own and invest on a discretionary basis not less than $25 million in investments and was not formed for the purpose of investing in any fund; or 4) I am a trust and am a QP because each trustee and granter is a QP and was not formed for the purpose of investing in any fund.
